The SEC just drew a sharper line through crypto governance — and it is about power, not participation. On November 2, its Division of Corporation Finance added three new answers to its crypto FAQ, on when governance participants count as a central party. The key point: voting alone does not make you the boss. Unaffiliated participants with no side agreement to act together are generally not treated as a controlling group just for taking part in governance. But unilateral power is different. The ability to freeze access, pick validators, change code or reverse transactions can signal central oversight. And working is not the same as decentralized: a system can function exactly as designed and still be controlled. The catch: this is staff guidance, not a law — and it does not classify any token as a commodity. Bitcoin sits near $76,700, down about 2% on the day. For every governance token, the test just got clearer: it is not whether people vote. It is whether anyone can overrule them.
